As stated in the Companies Act, every public company shall have at least two directors whilst every private company shall have at least one director. The business of a company shall be managed by the directors, who may exercise all such powers of the company. The Board of Directors can be composed of either foreigners and/or locals and may be both natural persons and/or a body corporate (referred to as a corporate director). Directors are bound by law to promote the well-being of the company and are responsible for:
(a) the general governance of the company and its proper administration and management; and
(b) the general supervision of the company's affairs.
